Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Ally Technologies Inc. ("Ally," "we," "us," or "our") governing your access to and use of the Ally platform, including the website at allyapp.cc and all related services (collectively, the "Service").

By accessing or using the Service, creating an account, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

Eligibility

You must meet the following requirements to use Ally:

• You must be at least 13 years of age. If you are under 18, you represent that you have your parent or legal guardian's permission to use the Service.
• You must have the legal capacity to enter into a binding agreement in your jurisdiction.
• You must not be prohibited from using the Service under applicable law (for example, you must not be subject to sanctions or located in a jurisdiction where such services are prohibited).
• Your account must not have been previously terminated by Ally for violations of these Terms.

By using the Service, you represent and warrant that you meet all eligibility requirements.

Account Responsibilities

Account security

You are responsible for maintaining the security of your account credentials. You agree to:

• Keep your password confidential and not share it with anyone
• Use a strong, unique password for your Ally account
• Notify us immediately if you suspect unauthorized access to your account at support@allyapp.cc
• Log out of your account when using shared devices

Account activity

You are responsible for all activity that occurs under your account, including content posted, messages sent, and actions taken. Ally is not liable for any loss or damage arising from your failure to maintain account security.

Accurate information

You agree to provide accurate and complete information when creating your account and to keep it up to date. Impersonating another person or entity, or creating fake accounts, is prohibited.

Acceptable Use

You agree to use Ally only for lawful purposes and in accordance with these Terms. The following behaviors are strictly prohibited:

Prohibited content and conduct

• Posting, transmitting, or distributing illegal content of any kind
• Harassing, threatening, bullying, or intimidating other users
• Spamming, sending unsolicited bulk messages, or flooding channels
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity
• Attempting to gain unauthorized access to other accounts or to Ally's systems
• Distributing malware, viruses, or other harmful code
• Scraping or data harvesting without authorization
• Circumventing or attempting to circumvent any security measures
• Using the Service for any purpose that violates applicable law

Server and community rules

Individual servers on Ally may have their own rules established by server administrators. You agree to comply with the rules of any server you join. Server administrators are responsible for enforcing their rules within their communities and for ensuring their servers comply with these Terms.

Content Ownership

Your content

You retain ownership of all content you create and post on Ally, including messages, images, and other material ("Your Content"). We do not claim any ownership rights over Your Content.

License to Ally

By posting content on Ally, you grant Ally Technologies Inc. a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute Your Content as necessary to provide the Service. This license exists solely to operate and improve the platform and does not extend to commercial use, advertising, or sale of Your Content.

Your representations

By posting content, you represent that:

• You own or have the rights to post the content
• Posting the content does not violate anyone else's intellectual property rights
• The content complies with these Terms and applicable law

Ally's content

The Ally platform, including its design, logos, software, and documentation, is owned by Ally Technologies Inc. and protected by intellectual property law. You may not copy, modify, distribute, or create derivative works of our platform without our express written permission.

Service Availability

We work hard to keep Ally available and operational, but we do not guarantee uninterrupted access to the Service. We may:

• Perform maintenance that temporarily limits access
• Experience outages due to factors outside our control
• Modify or discontinue features at any time

Free tier accounts are provided on a best-effort basis and do not include a Service Level Agreement (SLA). We provide no uptime guarantees for free accounts.

We will make reasonable efforts to notify users of planned downtime in advance, but we are not obligated to do so.

Termination

Termination by you

You may delete your Ally account at any time through your account settings. Upon deletion, your personal data will be handled as described in our Privacy Policy. Deletion is permanent and cannot be undone.

Termination by Ally

We reserve the right to suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms or our policies
• We reasonably believe your account poses a risk to other users or the platform
• Required by law or a valid legal process
• We decide to discontinue the Service

For serious violations (harassment, illegal content, CSAM), termination will be immediate and permanent. For lesser violations, we may issue warnings or temporary suspensions before permanent termination.

Effect of termination

Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination will survive.

Limitation of Liability

To the fullest extent permitted by applicable law, Ally Technologies Inc. and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of data, profits, goodwill, or business opportunities
• Damages arising from your inability to access or use the Service
• Content posted by other users
• Any third-party services linked to or integrated with Ally

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Ally in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow limitations on liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.

If you are a consumer in the EU or another jurisdiction with mandatory consumer protection laws, you may also have rights under those laws that cannot be waived by this clause.

Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through:

• Email notification to your registered address
• A prominent notice within the platform
• An update to the "Last updated" date at the top of this page

For material changes, we will provide at least 14 days notice before the new Terms take effect. For non-material changes (clarifications, formatting corrections), changes may take effect immediately.

Your continued use of Ally after the effective date of updated Terms constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
